TERMS AND CONDITIONS

These Terms and Conditions apply to the Help Artur Fundraising Auction, including both:

1. the physical auction held at the fundraising event; and
2. the online auction made available through the Help Artur website and associated online bidding system.

The physical and online elements are intended to operate as one coordinated auction.

The auction is organised by Artur Dabrowski Glioblastoma Treatment Fundraising, a Small Society operating under its constitution and with three Responsible Officers.

In these Terms and Conditions:

"Organisers", "we", "us" and "our" mean Artur Dabrowski Glioblastoma Treatment Fundraising and persons authorised by it to administer the auction.

"Bidder" means any person who registers for, participates in or places a bid in the auction.

"Lot" means any item, service, experience, accommodation, voucher or other benefit offered for auction.

"Successful Bidder" means the person determined to have made the winning bid for a Lot.

The purpose of the auction is to raise funds in support of Artur Dabrowski and his treatment.

By registering, placing a bid or otherwise participating in the auction, you agree to be bound by these Terms and Conditions.

Bidders must be aged 18 or over.

The auction is primarily intended for bidders based in the United Kingdom. However, bids from outside the United Kingdom may be accepted at the Organisers' discretion.

The Organisers may refuse or cancel a registration or bid where they reasonably believe that:

1. the Bidder is under 18;
2. the information supplied is false or misleading;
3. the bid is fraudulent, abusive, manipulated or otherwise invalid;
4. the Bidder is attempting to interfere improperly with the auction; or
5. participation would create a legal, practical or other significant concern.

Online Bidders will normally access the auction through the Help Artur website or another route specified by the Organisers.

To register or participate online, a Bidder may be required to provide their name, email address and any further information reasonably necessary to administer the auction.

The Organisers may use third party providers for website hosting, bidder registration, online auction software, payment processing and communications.

The Organisers may change the technical systems or service providers used to operate the auction where reasonably necessary.

The online auction is expected to open approximately one week before the physical auction and will close at the same time as the physical auction concludes, unless the Organisers announce otherwise.

The physical and online auctions operate as a single coordinated bidding process.

An authorised representative of the Organisers will administer the online bidding process and liaise with the auctioneer conducting the physical auction.

Where a higher bid is made in the physical auction room, the Organisers may enter a corresponding bid through an authorised administrative or master account on the online bidding system.

The purpose of such administrative bids is to ensure that the online system reflects the current highest genuine bid made in the physical auction.

Administrative or master account bids are not additional bids made by the Organisers and are not intended to artificially increase the price of any Lot.

The online bidding history may therefore include bids entered by an authorised administrative account representing genuine bids made in the physical auction room.

By participating in the auction, Bidders acknowledge and accept this process.

The auctioneer conducting the physical auction has authority to manage the bidding process in the auction room.

In the event of any uncertainty, dispute or disagreement concerning:

1. whether a bid was made;
2. the amount of a bid;
3. the timing of a bid; or
4. the identity of the Successful Bidder,

the decision of the auctioneer in the room will be final.

The auctioneer and the Organisers may reasonably:

1. accept or refuse a bid;
2. correct an obvious error;
3. resolve a bidding dispute;
4. determine the Successful Bidder;
5. alter the pace or method of bidding;
6. vary bid increments;
7. withdraw or reoffer a Lot; or
8. take any other reasonable step necessary to administer the auction fairly.

Online bidding may begin at £0, unless otherwise stated.

The normal minimum increase for online bids is £10.

For the physical auction, the auctioneer may set an opening or starting bid for any Lot.

Bid increments in the physical auction room may be less than £10.

The auctioneer may vary bid increments where reasonably necessary.

Some Lots may be subject to a reserve price. Not all Lots will have a reserve.

Where a reserve applies to an online Lot, the existence of the reserve will be displayed or otherwise indicated online.

A Lot subject to a reserve will not normally be sold unless the reserve has been reached.

The Organisers are not required to disclose the amount of a reserve price.

All Bidders are responsible for ensuring that they understand the Lot and the amount of their bid before submitting it.

The Organisers may refuse, cancel, disregard or correct a bid which they reasonably believe to be:

1. entered in error;
2. duplicated;
3. fraudulent;
4. invalid; or
5. the result of a technical or administrative error.

A Bidder must not place a bid merely to test the system, influence the price or without a genuine intention to pay if successful.

The auctioneer in the physical auction room will determine the winning bid and Successful Bidder.

This applies whether the final competing bid was made physically or online.

Once a Bidder has been determined to be the Successful Bidder, they are committed to paying the full amount of their winning bid, subject to any legal rights which cannot lawfully be excluded.

The Organisers may contact the Successful Bidder to confirm their identity, payment arrangements and, where relevant, collection or delivery details.

Successful Bidders must pay the full amount of their winning bid within 48 hours of being notified that they are the Successful Bidder, unless the Organisers agree otherwise.

Successful Bidders attending the physical auction may normally pay:

1. by debit card;
2. by credit card using the card payment facilities available at the event; or
3. by bank transfer.

Online Successful Bidders will normally be provided with bank account details for payment.

Where made available by the Organisers, payment may alternatively be made through the relevant fundraising page.

The Successful Bidder remains responsible for paying the full amount of the winning bid.

Third party payment providers and fundraising platforms may deduct their own charges or processing fees in accordance with their own terms.

The Organisers are not responsible for delays, restrictions, fees or technical failures caused by banks, card processors, fundraising platforms or other third party payment providers.

If a Successful Bidder does not make payment within 48 hours, and no alternative arrangement has been agreed, the Organisers may cancel the sale.

The Organisers may then, at their discretion:

1. offer the Lot to the next highest Bidder;
2. reoffer the Lot for auction;
3. retain the Lot for a future fundraising activity; or
4. otherwise deal with the Lot as the Organisers reasonably consider appropriate.

The Organisers are not obliged to offer the Lot to the next highest Bidder.

The Organisers intend to take possession of physical Lots offered for auction.

Where practical, a Successful Bidder may collect a physical Lot at the physical auction.

Alternatively, delivery may be arranged by agreement with the Organisers.

Unless otherwise agreed, the Successful Bidder is responsible for delivery, postage, insurance and other reasonable costs associated with sending the Lot to them.

Where a physical Lot is not collected at the auction, the Organisers may require the Successful Bidder to collect the Lot, or make agreed collection or delivery arrangements, within 14 days.

If a Lot remains uncollected after that period, the Organisers may take reasonable steps to contact the Successful Bidder.

If the Lot remains uncollected and no satisfactory arrangements are made, the Organisers may deal with the Lot as they reasonably consider appropriate, including reoffering it for fundraising purposes.

The Organisers are not required to store a Lot indefinitely.

Lots may include:

1. accommodation;
2. meals or dining experiences;
3. hospitality;
4. professional services;
5. vouchers; and
6. other services or experiences.

The description of each Lot will set out what is included as clearly as reasonably possible.

Where a Lot is supplied directly by a donor or other third party, the Successful Bidder will normally be put in contact with that person or organisation to arrange fulfilment.

The donor or third party provider is responsible for providing the service, accommodation or experience in accordance with the description and any applicable terms or conditions.

The Organisers will use reasonable efforts to assist where a genuine problem arises but are not themselves the provider unless expressly stated.

Availability, dates, booking procedures and other restrictions may apply.

The Successful Bidder must comply with reasonable booking conditions imposed by the donor or provider.

The Organisers cannot guarantee that a particular date, time or booking will be available unless expressly stated in the Lot description.

The Organisers do not intend to offer:

1. age restricted goods or services;
2. goods or services requiring the Successful Bidder to hold a particular licence or qualification;
3. flights or travel arrangements;
4. alcohol as an intended auction Lot; or
5. other goods or services which the Organisers reasonably consider unsuitable, unlawful or impractical.

If an unsuitable or restricted item is mistakenly donated, listed or offered, the Organisers may withdraw it from the auction.

The Organisers will use reasonable efforts to describe Lots accurately.

Much of the information used to describe a Lot may have been supplied by the donor.

Unless expressly stated otherwise, the Organisers do not independently verify information relating to:

1. authenticity;
2. provenance;
3. history;
4. age;
5. condition;
6. value; or
7. suitability for a particular purpose.

Lots may be described as genuine signed originals or limited editions where that information has been supplied by the donor or otherwise reasonably relied upon by the Organisers.

Such descriptions do not amount to independent professional authentication unless expressly stated.

Photographs are provided to assist identification and description but may not show every feature, defect or aspect of a Lot.

Bidders are encouraged to inspect physical Lots where inspection is available and to ask questions before placing a bid.

Unless expressly stated otherwise, physical Lots are offered in their donated and existing condition.

The Organisers may not be aware of every defect, characteristic or limitation affecting a Lot.

Bidders should satisfy themselves, so far as reasonably possible, about the nature and suitability of a Lot before bidding.

Nothing in these Terms and Conditions excludes any legal rights which cannot lawfully be excluded.

The Organisers may withdraw, amend or correct a Lot or its description before it is sold.

This may happen where:

1. information is found to be inaccurate;
2. the Lot becomes unavailable;
3. the donor withdraws the offer;
4. a legal or practical issue arises; or
5. withdrawal is otherwise reasonably necessary.

Where a Successful Bidder has already paid for a Lot which subsequently becomes unavailable through no fault of the Successful Bidder, the Organisers will seek to resolve the matter fairly and may arrange a refund where appropriate.

The Organisers will take reasonable care in administering the auction.

The Organisers are not responsible for losses arising from matters outside their reasonable control, including:

1. internet, website or platform failure;
2. interruption or delay in communications;
3. errors or failures by banks, payment processors or third party platforms;
4. postal or delivery delays;
5. acts or omissions of an independent donor or provider; or
6. circumstances preventing a service, experience or accommodation booking from taking place.

Nothing in these Terms and Conditions excludes or limits liability where it would be unlawful to do so.

Nothing in these Terms and Conditions excludes liability for fraud or fraudulent misrepresentation.

The Organisers may collect and use personal information reasonably necessary to administer the auction.

This may include:

1. name;
2. email address;
3. telephone number, where provided or required;
4. payment information or payment confirmation;
5. delivery or collection address; and
6. information reasonably necessary to deal with queries, disputes or administration of the auction.

Personal information will only be made available to authorised persons who reasonably need access to it for organising, administering, fulfilling or delivering the auction.

This may include members of the Organisers' team involved in arranging collection or delivery of physical Lots.

The Organisers may use third party providers for:

1. website hosting;
2. bidder registration;
3. online auction software;
4. payment processing;
5. fundraising platforms; and
6. email and other communications.

Personal information may be shared with such providers where reasonably necessary to operate and administer the auction.

Where a Lot consists of accommodation, a service or an experience supplied directly by a donor or other provider, relevant contact information may be shared where reasonably necessary to arrange fulfilment.

The Organisers will take reasonable steps to handle personal information responsibly and in accordance with applicable data protection requirements.

The Organisers may communicate with Bidders by email or by another contact method reasonably provided by the Bidder.

Bidders are responsible for providing accurate contact details.

Bidders should check their email, including spam or junk folders where appropriate, for communications relating to the auction.

The Organisers are not responsible for a Bidder failing to receive a communication because incorrect contact details were supplied or because of a technical failure outside the Organisers' reasonable control.

The Organisers do not provide VAT, tax or legal advice to Bidders or donors.

The VAT treatment of auction Lots and related transactions depends on the nature of the supply, the status of the organisation and the applicable legal requirements.

The Organisers may amend the treatment or wording relating to VAT, tax or other charges where required by applicable law or professional advice.

A Bidder is responsible for any customs duties, import taxes or other charges arising as a result of delivery outside the United Kingdom or their individual circumstances.

Bids from outside the United Kingdom may be accepted at the Organisers' discretion.

International delivery may not be available for every Lot.

Where international delivery is agreed, the Successful Bidder may be responsible for all applicable delivery, postage, customs, import duty and tax costs.

The Organisers may require an alternative delivery or collection arrangement where international delivery is impractical or disproportionately expensive.

The purpose of the auction is to raise funds in support of Artur Dabrowski and his treatment.

Auction payments will be directed through the fundraising arrangements authorised by Artur Dabrowski Glioblastoma Treatment Fundraising, including its designated bank account and any authorised fundraising payment route.

Third party payment providers or fundraising platforms may deduct charges or processing fees in accordance with their own terms.

The Organisers will seek to apply auction proceeds consistently with the stated fundraising purpose, subject to legitimate payment processing, banking, delivery and other necessary costs.

The Organisers may make reasonable changes to:

1. auction timings;
2. bidding arrangements;
3. the order of Lots;
4. communication methods;
5. collection or delivery arrangements; and
6. technical arrangements,

where reasonably necessary to operate the auction fairly and effectively.

Where a significant change is made, the Organisers will seek to communicate it through the Help Artur website, the online bidding system, the physical event or another appropriate method.

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will continue to apply so far as legally possible.

A failure by the Organisers to enforce any provision on one occasion does not prevent them from enforcing that provision or another provision on a later occasion.

These Terms and Conditions are governed by the law of England and Wales.

Any dispute will be subject to the jurisdiction of the courts of England and Wales, unless applicable law requires otherwise.

The Organisers may update these Terms and Conditions before the auction.

The version published on the Help Artur website, online auction system or otherwise made available to Bidders at the relevant time will apply.

Questions about the auction, bidding, payment, collection or delivery should be directed to the Organisers using the contact details provided on the Help Artur website or through official auction communications.
